Terms of Service

These Terms form the agreement between you and EELML AI LLC for use of EELML Studio, EELML Link, websites, accounts, subscriptions, Cloud AI Usage, and related services.

These first-version terms are intended for operational review and should be reviewed by qualified counsel before a broad commercial launch.

1. Agreement and eligibility

By creating an account, downloading or using the Services, purchasing a subscription, or accepting an order, you agree to these Terms and the policies linked here. You must be at least 18 and able to enter a binding agreement. If you act for an organization, you represent that you have authority to bind it.

An accepted order form, statement of work, data processing addendum, or enterprise agreement controls over these public Terms only for the subject it expressly covers.

2. The Services

EELML provides software and digitally delivered services that may combine on-device inference, a native Agent Harness, authorized tool execution, account services, and managed cloud inference. Features, supported models, platforms, and availability can change as the Services evolve.

Local mode is designed to keep local conversations and workspace outputs on the user-controlled device. Online or hybrid features transmit the content needed to perform the requested operation to EELML infrastructure and applicable providers. The active mode and applicable permissions should remain visible to the user.

3. Accounts, administrators, and authorization

You are responsible for accurate account information, safeguarding credentials, maintaining authorized users, and activity performed through your account. A workspace administrator may manage seats, permissions, model entitlements, Cloud AI Usage, and connected services for that workspace.

You may connect tools, data, systems, or accounts only when you have the legal right and organizational authorization to do so. High-consequence actions such as payments, purchases, posting, deletion, or external publication may require separate confirmation.

4. Customer Content and instructions

You retain ownership of prompts, files, business records, outputs, and other content you provide or create through the Services (“Customer Content”). You grant EELML a limited license to host, transmit, reproduce, and process Customer Content only as needed to provide, secure, support, and improve the Services in accordance with the Privacy Policy and your settings.

You are responsible for the legality, accuracy, and permissions associated with Customer Content and instructions. EELML does not claim ownership of Customer Content and does not use it to train general-purpose models unless you expressly opt in.

5. AI output and human responsibility

AI output can be incomplete, inaccurate, or unsuitable. You must review output before relying on it, especially for legal, tax, accounting, medical, employment, credit, safety, or other high-impact decisions. EELML does not provide professional advice.

The Services may help prepare or execute authorized work, but you remain responsible for final decisions, required approvals, regulatory duties, and the consequences of instructions issued through your account.

6. Subscriptions, Cloud Credits, and taxes

Paid plans renew automatically until canceled. Prices, seat quantities, billing frequency, included E credit allowance, applicable taxes, and total charges are shown before payment and are governed by the Billing & Subscription Terms.

E credits are limited, non-transferable service credits for eligible cloud inference. They are not money, stored value, or a promise of access to any particular model. Model entitlement, quota, provider availability, and routing remain separately controlled by EELML policy.

7. Acceptable use and suspension

You must follow the Acceptable Use Policy. We may limit or suspend access when reasonably necessary to protect users, providers, infrastructure, or third parties; respond to legal requirements; investigate suspected fraud or abuse; or address nonpayment. When practical, we will give notice and an opportunity to cure.

We do not silently substitute a different paid model or create unapproved overage charges when a quota is exhausted or a provider is unavailable.

8. Intellectual property and feedback

EELML and its licensors own the Services, software, documentation, brands, and related technology, excluding Customer Content and third-party materials. Subject to these Terms, EELML grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your own internal business purposes during the applicable term.

If you provide feedback, you grant EELML a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing confidential Customer Content.

9. Confidentiality

Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform the agreement, protect it with reasonable care, and disclose it only to personnel and providers who need it and are bound by confidentiality duties. Legal disclosures are permitted when required, with notice where lawful.

10. Warranties and service changes

EELML will provide paid Services with reasonable care and skill. Except for express commitments in an accepted order, the Services are provided “as is” and “as available.” To the extent permitted by law, EELML disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We may modify or discontinue features. For a material reduction to a paid core feature during a prepaid term, we will use reasonable efforts to provide notice and an appropriate remedy, which may include a workaround, service credit, or prorated refund.

11. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility. EELML’s aggregate liability arising from the Services will not exceed the amount you paid EELML for the affected Services during the twelve months before the event giving rise to the claim.

These limits do not apply where prohibited by law or to fraud, willful misconduct, infringement, breach of confidentiality, or obligations that cannot lawfully be limited.

12. Termination and governing law

You may stop using free Services at any time and may cancel paid plans under the Billing & Subscription Terms. Either party may terminate for a material breach that remains uncured after reasonable notice, or immediately when cure is impossible or continued service would be unlawful or unsafe.

These Terms are governed by the laws of the State of Wyoming, excluding conflict-of-law rules, except where mandatory consumer law applies. Before filing a claim, the parties will attempt good-faith informal resolution. Courts with jurisdiction in Wyoming will be the agreed venue unless an accepted agreement states otherwise.

13. Changes and contact

We may update these Terms prospectively. Material changes will be announced through the website, account, or email and will state an effective date. Continued use after that date constitutes acceptance where permitted by law.
